1. General Provisions
1.1 Welcome to uk.my-artstore.com (the “Platform”). By accessing, browsing or using the Platform in any manner you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions (the “Terms”), together with any policies referenced herein (such as our Privacy Policy, Cookie Policy and Refund Policy).
1.2 The Platform is operated by Golden Element Solutions Limited, a company incorporated in England and Wales (Company No. 16201533) with its registered office at 22 Brondesbury Park, London, NW6 7DL, United Kingdom (“we”, “us”, “our”).
1.3 You confirm that you have the legal capacity to enter into these Terms and, if acting on behalf of a business or other legal entity, that you have authority to bind that entity. If you do not agree to these Terms, you must not use the Platform.
2. Definitions
“Account” – a registered user profile enabling access to Seller or Buyer features.
“Buyer” – a User who purchases Content or physical products via the Platform.
“Commission” – the percentage of the sale price retained by us on each transaction.
“Content” – photographs, metadata, text or other materials uploaded or made available by Users.
“Intellectual Property Rights” – patents, copyrights, design rights, trademarks, trade secrets and any other proprietary rights under law.
“License” – the scope of usage rights granted to a Buyer for purchased Content.
“Seller” – a User who offers Content for sale.
“User”, “you”, “your” – any individual or entity accessing or using the Platform.
3. User Accounts
3.1 To unlock full functionality (including buying or selling), you must create an Account by providing accurate, current and complete information. We may require identity or address verification to comply with legal obligations (for example, anti‑money‑laundering rules).
3.2 You are responsible for safeguarding your login credentials. You agree to notify us immediately of any unauthorised use of your Account. We are not liable for losses arising from unauthorised access resulting from your failure to keep credentials secure.
3.3 We reserve the right to suspend or terminate any Account that: (a) provides false information, (b) engages in fraudulent or unlawful activities, or (c) breaches these Terms.
4. Seller Obligations
4.1 By uploading Content, you warrant that you: (a) own the copyright or have a valid licence to offer the Content; (b) have obtained all necessary model, property and trademark releases; and (c) are not infringing any third‑party rights.
4.2 Content must meet our technical specifications (format, resolution, metadata) and quality guidelines. We may reject, edit, watermark or remove Content at our discretion.
4.3 Sellers set retail prices subject to any minimum thresholds notified by us. Our current Commission is 8 % of the gross sale price, deducted automatically at checkout. We may revise the Commission with 30 days’ prior notice.
4.4 Sellers are solely responsible for reporting and paying any income, self‑employment or other taxes arising from sales. Where required by law (e.g., VAT marketplace rules), we will collect and remit tax on your behalf and provide relevant documentation.
4.5 Payouts are made in GBP via the payment method configured in your dashboard. We aim to process payouts within five UK business days of a cleared sale, subject to fraud checks and minimum payout thresholds (currently £20).
5. Buyer Obligations
5.1 By confirming payment you enter into a legally binding contract to purchase the selected Content or product under the applicable License. You must comply with all usage restrictions specified during checkout and in these Terms.
5.2 Unless stated otherwise, digital downloads are sold on a non‑exclusive, non‑transferable basis for the territory worldwide. Licences are personal to you and may not be sublicensed, resold or distributed. For extended or exclusive rights, please contact us.
5.3 Digital downloads: due to their nature, you acknowledge that the 14‑day cancellation right is waived once download begins, except where the file is defective or a duplicate purchase is proven. Physical products: you may cancel within 14 days of delivery by emailing support with your order number; you must return goods in original condition and bear return shipping costs. Refunds are processed within 14 days of receipt of returned goods or proof of posting.
5.4 You may not: (a) use Content in a defamatory, obscene or unlawful manner; (b) create a trademark or logo based on the Content; (c) redistribute Content as standalone files on stock websites or peer‑to‑peer networks.
6. Payments, Currency and Taxes
6.1 We accept major credit/debit cards and any local alternatives displayed at checkout. Payments are processed by PCI‑DSS‑compliant providers; we do not store card details.
6.2 All prices are shown and charged in pounds sterling (GBP). For EU visitors we may optionally display prices in euros (EUR). Your bank may apply currency conversion fees.
6.3 Prices include UK VAT where applicable. EU consumers may be charged VAT according to their member‑state rate under the OSS scheme. Businesses providing a valid VAT number may be able to zero‑rate the transaction. Import duties for deliveries outside the UK are the Buyer’s responsibility.
7. Content and Intellectual Property
7.1 All software, design, text and graphics forming the Platform are either owned by us or licensed to us. Except as expressly set out in these Terms, no licence is granted to you under our Intellectual Property Rights.
7.2 If you believe any Content infringes your rights, please send a detailed notice to [email protected]‑artstore.com. We will respond within five UK business days and, where appropriate, remove or disable access to the Content while we investigate. Sellers may submit counter‑notices with evidence of their rights.
7.3 We recommend Sellers retain backup copies of all Content. We are not responsible for loss or corruption of files uploaded to the Platform.
8. Prohibited Activities
You must not: (a) use any robot, spider or scraping tool to access the Platform; (b) upload viruses or malicious code; (c) interfere with security‑related features; (d) impersonate another person; (e) conduct illegal or fraudulent transactions.
9. Platform Availability and Service Changes
We strive for uninterrupted service but may suspend or limit the Platform for maintenance, upgrades or legal reasons. We will give reasonable notice where practicable. We may modify or discontinue any feature with or without notice.
10. Warranties and Disclaimers
The Platform and Content are provided “as is” and “as available”. We do not guarantee that files are free from viruses, that colours on your screen accurately reflect printed products, or that Content will meet your expectations. Sellers warrant the accuracy of their descriptions; we are not the author of User Content and assume no liability for it.
11. Limitation of Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or any liability that cannot be excluded by law. Subject to the foregoing, our total aggregate liability to any User for any loss or damage arising out of or in connection with the Platform or these Terms shall not exceed £100 or the total Commission we have received from you in the preceding twelve months, whichever is greater. We are not liable for indirect, consequential or special damages, including loss of profit, revenue or data.
12. Indemnification
You agree to indemnify and hold harmless Golden Element Solutions Limited, its directors, officers and employees from any claim or demand (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Platform or infringement of any third‑party rights.
13. Termination and Suspension
We may suspend or terminate your Account immediately on written notice if: (a) you materially breach these Terms; (b) you engage in fraud or illegal conduct; (c) we are required to do so by law. Upon termination, outstanding licence rights already granted to Buyers remain valid. Clauses intended to survive (e.g., limitation of liability, indemnity) shall continue in force.
14. Data Protection and Privacy
14.1 We are the data controller for personal data processed via the Platform. We process your data in accordance with the UK GDPR, the Data Protection Act 2018 and, where applicable, the EU GDPR.
14.2 For information on the categories of data we collect, purposes of processing, retention periods, your rights and transfer mechanisms, please refer to our Privacy Policy.
14.3 We use cookies and similar technologies; see our Cookie Policy for details and your choices.
15. Consumer Rights and Complaints
15.1 UK consumers benefit from statutory rights under the Consumer Rights Act 2015; nothing in these Terms affects those rights.
15.2 EU consumers benefit from rights under the Consumer Rights Directive 2011/83/EU, including a 14‑day withdrawal right for distance contracts of physical goods.
15.3 Complaints: please email [email protected]‑artstore.com. If we cannot resolve your complaint, you may refer it to an Alternative Dispute Resolution (ADR) provider or, for EU consumers, the European Commission’s Online Dispute Resolution platform.
16. Force Majeure
We shall not be liable for any delay or failure to perform our obligations due to events beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, strikes, utility failures or government restrictions.
17. Changes to These Terms
We may amend these Terms from time to time to reflect changes in law, best practice or Platform functionality. We will notify you of material changes via email or a notice on the Platform at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance of the revised Terms.
18. Governing Law and Jurisdiction
These Terms, their subject matter and formation (and any non‑contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that consumers resident in the EU may bring proceedings in the courts of their member state.
19. Miscellaneous
19.1 These Terms, together with the policies referenced herein, constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements.
19.2 You may not assign or transfer your rights or obligations without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition or sale of assets.
19.3 If any provision is found invalid or unenforceable, the remaining provisions will remain in full force.
19.4 Our failure to enforce any provision is not a waiver of future enforcement.
19.5 Except for our affiliates, no person who is not a party to these Terms has any right to enforce any term under the Contracts (Rights of Third Parties) Act 1999.
